TERMS OF USE

This agreement defines the terms and conditions for any company or organizational use (“Client”)  or your individual use (“user”) of the HFPL Live! (“HFPL”) software (“Software”), and website (“website”).  You are strongly encouraged to read the following terms and condition before using this site.  Users must agree to all provisions stated below without limitations or restrictions.  Users understand that these terms and conditions apply each time you use the software and site.

Voluntary participation

Users agree that they are registering for an account voluntarily and acknowledge that their participation in any programs, challenges, or events posted on this site is done so voluntarily.

Trademark

The HFP Live website, software, designs, applications, graphics, and other elements are property of HFPL and are protected by US and International trademark laws.  Use of this website does not transfer any ownership or rights to any Clients or its allowed participants (defined as any person allowed by the client to register on the Client’s wellness portal including but not limited to employees, employee spouses, dependents, associates, contractors, or anybody else who has permission from the Client to register on the website), or to the user.  Any use of the trademarks, names, logos, or content of the website is prohibited.

Software and Data Use

Neither Clients nor users may modify, sell, reproduced, data mine, mirror, or distribute in any matter or form the contents and/or graphics of this website.  Users may view and export their own data entries and use the data for their own personal use, or for use in any wellness program organized by a Client.  Clients may have access to all data entries by their allowed users as permitted by the laws governing the access and distribution of personal health and wellness information.

Liabilities

Use of this site is at the Client’s user’s own risk.  The information, resources, and tools presented by HFPL are for tracking, reporting, and educational purposes only.  This software and website provide general information and interpretations to participants from the presentations and recordings of the health and wellness professions and from any data entered by the users.  This general information is NOT intended to diagnose any disease or condition, nor is it meant to be interpreted as any sort of recommendation of treatments of diseases or conditions.  Users are highly encouraged to consult with their primary care physician regarding any medical or physical conditions or health and wellness questions they may have and also prior to and while participating in any health or wellness program (including but not limited to exercise, fitness, nutrition, weight loss, and stress management programs or challenges).  General information and interpretations are based on the opinions of the presenters and any data entered by users and may decrease in accuracy if inaccurate information is entered by users.  HFPL is not responsible for inaccurate results or general interpretations when inaccurate information is reported or entered by the user.  HFPL, its affiliates, employees, and contractors are not responsible for any health or medical conditions that may arise during or from your use of the software or website.      

HFPL, its affiliates, employees, and contractors are NOT liable for any harm, loss, or damage (including but not limited to personal injury, health issues, income, profits, reputation, business, or data) that may be caused to the Client or the user while participating in or as a result of participating in a webinar, workshop, fitness class, demo, wellness program, or challenge that is available through the HFP Live website. 

The Clients and users agree to indemnify and hold harmless HFPL, its affiliates, contractors, and employees for any claim, action, liability, loss, or damage that may occur to the Client and/or any users while participating in any webinar, workshop, fitness class, demo, wellness program, challenge and/or any event being tracked and/or reported using this software and website.  Should the Client and/or user fail to defend, protect, and hold harmless HFPL, its affiliates, contractors, and employees for any claim pursuant to this section, HFPL and its affiliates have full rights to defend, pay, or settle the claim without further notice to the user and reclaim all fees and expenses from the user.

The Software and the Website are provided on an “as is” basis, without any representations, warranties or conditions of any kind, whether express or implied, and including without limitation implied representations, warranties or conditions of or relating to accuracy, accessibility, availability, completeness, durability, errors, fitness for a particular purpose, lack of negligence, performance, quality, results, security, sequence, service, timeliness, title, uninterrupted service, viruses or workmanlike effort, all of which are hereby waived by you and disclaimed by HFPL and its affiliates to the fullest extent permitted by law. There will not be any representations, warranties or conditions created by a course of dealing, course of performance or trade usage.

Users accept these terms and conditions with the understanding that the user has been made aware of and agrees to all terms and conditions of this agreement prior to using the software and website.  The users accepting these terms and conditions are representing themselves or are authorized to agree to these terms and conditions on behalf of the person they are representing.  If this is not the case, you are not authorized to use the software or this site.
